Submissions to Trace Animation Belong to Trace Animation

Your Indemnity Of Trace Animation; Termination Of Use

You agree to indemnify and hold Trace Animation harmless from all causes of action, claims, allegations, costs, fees, charges, and expenses (including reasonable attorneys' and professionals' fees), judgments, damages, losses, and liabilities arising from or relating to the breach or alleged breach of your duties or obligations under these terms and conditions or your use of the Site or the Site Content. For any indemnified matter, Trace Animation will have full control of the response thereto and the defense thereof, including, without limitation, any agreement relating to the settlement thereof, and you will cooperate with Trace Animation in such matter.

Any rights granted to you herein shall terminate automatically without notice if you breach any of these terms or conditions. Upon termination, you will immediately destroy any downloaded or printed Site Content and cease your use of this Site.

Applicable Law And Jurisdiction

The Site (excluding any links to third party web sites) is controlled by Trace Animation and operated by Trace Animation from its offices in and around Charlottesville, Virginia. The Site is accessible in all fifty states and other countries, and each of these places has laws that may differ from those of Virginia and from each other. As you and Trace Animation both benefit from establishing a predictable legal environment governing the operation and use of the Site, by using this Site, you and Trace Animation agree that all matters arising from or relating to the operation and use of this Site shall be governed by the laws of The Commonwealth of Virginia, without regard to its conflicts of laws principles. You agree that all claims you may have arising from or relating to the operation or use of this Site shall be heard and resolved in courts located in Virginia. No delay or omission by Trace Animation in exercising any of its rights occurring upon any noncompliance or default by you with respect to any of these terms and conditions will impair any such right or be construed to be a waiver thereof, and a waiver by Trace Animation of any of the covenants, conditions or agreements to be performed by you will not be construed to be a waiver of any succeeding breach thereof or of any other covenant, condition or agreement contained in these terms and conditions. The captions of these terms and conditions have been inserted solely for convenience of reference, in no way define or limit the scope or substance of any provision contained herein, and will not be considered in interpreting these terms and conditions. If any provision of these terms and conditions is determined to be invalid, illegal or otherwise unenforceable, then such provision will instead be construed to give effect to its intent to the maximum extent possible, and the validity, legality and enforceability of the other provisions of these terms and conditions shall not be affected thereby. If, after application of the immediately preceding sentence, any provision of these terms and conditions is determined to be invalid, illegal or unenforceable, such provision shall be severed, and after any such severance, all other provisions hereof shall remain in full force and effect. Except as otherwise expressly provided in these terms and conditions, this Agreement sets forth the entire agreement between you and Trace Animation regarding the subject matter hereof, and supersedes all prior promises, agreements or representations, whether written or oral, regarding such subject matter.
